These Terms and Conditions (“Terms”) govern your access to and use of the website, mobile application, web application, dashboards, communication channels, subscription plans, counselling services, digital content, webinars, courses, tools, and any other services operated or made available by UONE EDTECH PRIVATE LIMITED, operating under the brand name Hellomedic (“Company”, “UONE”, “Hellomedic”, “we”, “us”, or “our”).

By accessing, registering on, purchasing from, or using any part of the Hellomedic platform or services, you (“User”, “you”, or “your”) agree to be bound by these Terms, together with our Privacy Policy, Refund and Cancellation Policy, Fair Use Policy, and any other policies published by us from time to time.

If you do not agree with these Terms, please do not access or use the Hellomedic platform or services.

1. About UONE EDTECH PRIVATE LIMITED and Hellomedic

The website, mobile application, web application, digital platform, and related services under the brand name Hellomedic are owned and operated by UONE EDTECH PRIVATE LIMITED, a company incorporated under the Companies Act, 2013.

Hellomedic provides educational technology services, including but not limited to academic guidance, medical admission counselling, NEET counselling support, college and course guidance, admission-related information, exam updates, learning resources, digital content, webinars, mentoring, career guidance, application support, college predictor tools, paid courses, and related educational services.

2. Hellomedic Platform

For the purpose of these Terms, the “Platform” includes, without limitation:

• the Hellomedic website, including https://hellomedic.in/;
• the Hellomedic mobile application;
• the Hellomedic web application;
• dashboards, portals, tools, and learning systems;
• WhatsApp groups, Telegram groups, email, SMS, phone support, social media channels, and other communication forums operated by Hellomedic;
• webinars, counselling sessions, workshops, courses, packages, subscriptions, reports, digital products, and other services offered by Hellomedic.

Hellomedic may introduce, modify, suspend, or discontinue any service, feature, package, content, or platform functionality at its sole discretion, subject to applicable law.

3. Nature of Services

Hellomedic is an education, admission guidance, and counselling support platform. Our services may include educational information, guidance, updates, mentoring, counselling assistance, career guidance, admission-related support, learning materials, college predictor tools, webinars, paid courses, and application support.

You acknowledge and agree that:

1. Hellomedic provides guidance, information, analysis, and support based on available data, public information, institutional updates, regulatory notifications, official sources, and information provided by users.
2. Hellomedic does not guarantee admission, seat allotment, selection, rank improvement, scholarship, placement, examination success, visa approval, or any specific academic, admission, or career outcome.
3. Final decisions relating to admissions, eligibility, counselling, allotment, selection, seat matrix, course availability, fee structure, and examination results are governed by the concerned educational institutions, universities, authorities, regulators, boards, or government bodies.
4. You are solely responsible for verifying all important information from official sources before making any academic, admission, financial, or career decision.
5. Any decision made by you based on Hellomedic’s guidance, analysis, counselling, or information shall be your sole responsibility.

4. Acceptance of Terms

By using the Platform, creating an account, purchasing a plan, attending a session, joining any communication group, or accessing any Hellomedic service, you confirm that:

• you have read, understood, and accepted these Terms;
• you agree to comply with all applicable laws and regulations;
• the information provided by you is accurate, complete, and current;
• you are legally competent to enter into a binding agreement;
• if you are below 18 years of age, you are using the Platform with the consent and supervision of a parent or legal guardian.

Parents or legal guardians permitting minors to use the Platform shall be responsible for the minor’s use of the Platform, including payments, conduct, account activity, and legal obligations.

5. User Account and Registration

To access certain services, you may be required to create a user account.

You agree that:

1. You will provide accurate, current, and complete information during registration.
2. You will update your information whenever required.
3. You will not create an account using false information or impersonate another person.
4. You will not use another user’s account.
5. You will keep your login credentials confidential.
6. You are solely responsible for all activities that occur through your account.
7. You will immediately notify Hellomedic of any unauthorized access, breach, or suspected misuse of your account.

Hellomedic shall not be liable for any loss arising from unauthorized use of your account. You may be liable for losses suffered by UONE, Hellomedic, or others due to misuse of your account.

6. Account Sharing and Unauthorized Use

Each Hellomedic account is intended only for the personal use of the registered user.

You shall not:

• share, rent, sell, transfer, sublicense, or provide access to your account to any third party;
• use one account for multiple users;
• commercially exploit any subscription, package, course, counselling support, tool, or content;
• resell Hellomedic services or content without prior written permission;
• bypass device limits, login restrictions, or access controls.

Any account sharing, resale, unauthorized access, or commercial misuse may result in warnings, temporary restrictions, suspension, termination, denial of refund, and legal action.

7. Access, Permissions, and Restrictions

Subject to these Terms, Hellomedic grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial educational purposes.

You agree not to:

1. copy, reproduce, distribute, sell, license, publish, broadcast, transmit, or commercially exploit any Hellomedic content without written permission;
2. use bots, scrapers, spiders, automated tools, data mining tools, or offline readers to access or extract data from the Platform;
3. interfere with or disrupt the Platform, servers, networks, or security systems;
4. attempt to gain unauthorized access to any account, system, database, or service;
5. remove copyright, trademark, watermark, or proprietary notices;
6. reverse engineer, decompile, disassemble, or modify any part of the Platform;
7. use the Platform for unlawful, fraudulent, abusive, defamatory, obscene, harassing, or harmful purposes;
8. upload malware, viruses, trojans, worms, or harmful code;
9. collect personal information of other users;
10. use Hellomedic communication channels for spam, solicitation, advertising, or commercial promotion without authorization.

Hellomedic reserves the right to monitor usage and take appropriate action against violations.

8. Educational Content and Information

All educational content, counselling data, admission updates, exam-related information, webinars, videos, notes, documents, presentations, charts, reports, predictions, tools, and materials made available by Hellomedic are provided for informational and educational purposes only.

You acknowledge that:

• information may be collected from official notifications, public sources, third-party websites, regulatory bodies, educational institutions, government authorities, or other available sources;
• Hellomedic makes reasonable efforts to provide accurate and updated information but does not guarantee completeness, accuracy, suitability, availability, or timeliness;
• official notifications, institutional rules, eligibility criteria, fees, seat matrices, deadlines, admission procedures, and counselling rules may change without notice;
• users must verify all important information from official sources before acting on it.

Hellomedic shall not be responsible for any loss, damage, missed opportunity, or consequence arising from reliance on educational information, counselling guidance, predictions, recommendations, analysis, or tools provided through the Platform.

9. Counselling, Mentoring, and Guidance Services

Hellomedic may provide counselling, mentoring, advisory, or guidance services through online sessions, phone calls, webinars, chat support, reports, tools, or other methods.

You understand and agree that:

1. Hellomedic’s counselling and guidance are advisory in nature.
2. Hellomedic does not act as an admission authority, educational institution, government body, regulator, or agent guaranteeing admission.
3. Hellomedic does not guarantee any seat, college, course, branch, rank, allotment, result, admission, scholarship, visa, placement, or career outcome.
4. Decisions made by you based on Hellomedic’s guidance are your sole responsibility.
5. Hellomedic is not liable for consequences arising from your choices, eligibility issues, incorrect information provided by you, changes in official rules, missed deadlines, document errors, or decisions of external authorities.

10. Programs, Webinars, Courses, and Sessions

Hellomedic may conduct webinars, workshops, live classes, counselling sessions, events, seminars, programs, and paid courses.

Hellomedic reserves the right to:

• change the date, time, format, speaker, structure, or content of any session;
• cancel or reschedule any program, webinar, class, course, or event;
• modify course content, assignments, tests, quizzes, tools, reports, or learning material;
• deny access for misconduct, non-payment, technical misuse, account sharing, or breach of these Terms.

Unless expressly stated otherwise in the applicable plan, offer, or policy, rescheduling, modification, or cancellation of sessions shall not automatically entitle users to a refund.

11. User Content and Conduct

You may be allowed to post, upload, submit, share, comment, or communicate through the Platform or Hellomedic-hosted groups.

You are solely responsible for all content submitted or shared by you.

You agree not to submit or share content that:

• is false, misleading, defamatory, obscene, vulgar, hateful, threatening, abusive, or harassing;
• infringes copyright, trademark, privacy, publicity, or other rights of any person;
• contains confidential information of another person, institution, or authority;
• promotes illegal activity;
• contains spam, advertisements, chain messages, or unsolicited promotions;
• contains malware, viruses, or harmful code;
• harms minors or violates applicable law.

Hellomedic may remove, restrict, moderate, or report user content at its discretion without prior notice.

12. License to User Content

By submitting content, feedback, suggestions, reviews, comments, questions, ideas, testimonials, or other materials to Hellomedic, you grant Hellomedic a worldwide, royalty-free, non-exclusive, transferable, sublicensable license to use, reproduce, modify, publish, display, distribute, and create derivative works from such content for operating, improving, promoting, or marketing Hellomedic services, subject to applicable law and our Privacy Policy.

You confirm that you have the necessary rights to grant this license.

13. Intellectual Property Rights

All rights, title, and interest in the Platform and Hellomedic content belong to UONE EDTECH PRIVATE LIMITED, Hellomedic, or its licensors.

This includes, without limitation:

• website and app design;
• software, code, dashboards, tools, databases, and interfaces;
• text, graphics, images, videos, audio, presentations, reports, notes, PDFs, charts, study material, and digital content;
• trademarks, logos, service marks, brand names, trade names, and domain names;
• layout, arrangement, look and feel, and user experience.

The names “Hellomedic” and “UONE EDTECH PRIVATE LIMITED”, along with logos, marks, designs, brand assets, domain names, and related intellectual property, are owned by or licensed to UONE EDTECH PRIVATE LIMITED, unless otherwise stated.

You may not reproduce, copy, modify, distribute, sell, license, commercially exploit, or use any Hellomedic or UONE intellectual property without prior written permission.

14. Third-Party Links and Services

The Platform may contain links to third-party websites, official portals, payment gateways, educational institutions, regulatory authorities, government websites, or other external services.

UONE and Hellomedic do not control such third-party websites or services and are not responsible for:

• their content;
• accuracy of information;
• privacy practices;
• availability;
• terms and conditions;
• transactions;
• errors, omissions, losses, or damages arising from their use.

You should review the terms and privacy policies of third-party websites before using them.

15. Payments, Plans, and Subscriptions

Hellomedic may offer paid plans, packages, subscriptions, counselling services, courses, reports, webinars, tools, or digital products.

By purchasing any plan or service, you agree that:

1. you have reviewed the plan details before making payment;
2. prices, inclusions, validity, access limits, and features may vary by plan;
3. UONE may revise pricing, plans, offers, or features from time to time;
4. payment confirmation does not guarantee any academic, admission, exam, or career outcome;
5. access to paid services may be subject to successful payment verification.

UONE may use third-party payment gateways. UONE and Hellomedic shall not be responsible for payment gateway failures, banking delays, transaction declines, payment reversals, or technical issues caused by third-party systems.

16. Refund and Cancellation Policy

Refunds, if any, shall be governed by Hellomedic’s separate Refund and Cancellation Policy published on the Platform or communicated at the time of purchase.

Unless expressly stated otherwise in the applicable Refund and Cancellation Policy:

• payments once made are final;
• no refund shall be provided for change of mind, non-usage, partial usage, missed sessions, account suspension due to breach, or dissatisfaction arising from outcomes not guaranteed by Hellomedic;
• access restrictions caused by account sharing, misuse, policy violation, or breach of these Terms shall not be grounds for refund;
• refund requests, if permitted, must be submitted within the applicable timeline and through the prescribed support channel.

UONE reserves the right to approve or reject refund requests in accordance with its policies and applicable law.

17. Privacy and Data Protection

Your use of the Platform is also governed by Hellomedic’s separate Privacy Policy published on the Platform.

By using the Platform, you consent to the collection, use, storage, processing, and sharing of your information in accordance with the Privacy Policy and applicable law.

You agree that UONE and Hellomedic may communicate with you through email, SMS, phone calls, WhatsApp, app notifications, or other electronic means for service, support, marketing, transactional, and informational purposes, subject to applicable law.

18. Electronic Communication

When you use the Platform, send emails, submit forms, make purchases, join sessions, access courses, or communicate with Hellomedic electronically, you consent to receive communications from us electronically.

You agree that all notices, agreements, disclosures, policies, updates, and other communications provided electronically satisfy any legal requirement that such communication be in writing.

19. Suspension and Termination

UONE or Hellomedic may suspend, restrict, or terminate your account or access to the Platform without prior notice if:

• you breach these Terms or any Hellomedic policy;
• you share, sell, misuse, or commercially exploit your account;
• you provide false, misleading, or incomplete information;
• your conduct harms Hellomedic, other users, partners, or third parties;
• you engage in unlawful, abusive, fraudulent, or unethical behavior;
• your use disrupts the Platform or violates applicable law;
• Hellomedic is required to do so by law, authority, or court order.

Termination shall not affect UONE’s or Hellomedic’s rights to recover dues, damages, or pursue legal remedies.

20. Account Deletion

You may request deletion of your account by contacting Hellomedic through the prescribed support channel.

Upon account deletion:

• access to your account and services may be permanently disabled;
• certain records may be retained as required under law, accounting, tax, compliance, dispute resolution, fraud prevention, or legitimate business purposes;
• deletion may be processed in accordance with the Privacy Policy;
• paid access, unused services, or subscription validity may not be restored unless expressly permitted by Hellomedic.

21. Disclaimer of Warranties

The Platform and services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, UONE and Hellomedic disclaim all warranties, express or implied, including warranties of:

• accuracy;
• completeness;
• reliability;
• fitness for a particular purpose;
• uninterrupted access;
• error-free operation;
• suitability for any admission, exam, academic, or career objective;
• non-infringement.

Hellomedic does not warrant that:

• the Platform will always be available;
• defects will be corrected immediately;
• the Platform will be free of viruses or harmful components;
• information will always be current or error-free;
• use of the Platform will result in admission, success, selection, rank improvement, seat allotment, or any desired outcome.

22. Limitation of Liability

To the maximum extent permitted by law, UONE EDTECH PRIVATE LIMITED, Hellomedic, its directors, officers, employees, consultants, affiliates, agents, partners, and service providers shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages arising from:

• use or inability to use the Platform;
• reliance on educational information, counselling, analysis, predictions, recommendations, or guidance;
• admission, allotment, examination, eligibility, institutional, regulatory, or authority decisions;
• missed deadlines, incorrect user information, incomplete documents, or user errors;
• technical failures, data loss, unauthorized access, or service interruptions;
• third-party websites, services, payment gateways, official portals, or external platforms;
• user conduct or user content;
• modification, suspension, or discontinuation of services.

In any event, Hellomedic’s total liability shall not exceed the amount paid by you to UONE for the specific service giving rise to the claim, unless otherwise required by applicable law.

23. Indemnity

You agree to indemnify, defend, and hold harmless UONE EDTECH PRIVATE LIMITED, Hellomedic, its directors, officers, employees, consultants, affiliates, partners, agents, and service providers from and against all claims, liabilities, losses, damages, costs, and expenses, including legal fees, arising from:

1. your use of the Platform;
2. your breach of these Terms or any policy;
3. your violation of applicable law;
4. your infringement of third-party rights;
5. your user content;
6. misuse of your account;
7. false, inaccurate, or incomplete information provided by you;
8. any claim arising from academic, admission, counselling, or career decisions made by you.

This indemnity obligation shall survive termination of these Terms.

24. Force Majeure

UONE shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, strikes, epidemic, pandemic, government actions, internet failures, power outages, technical failures, cyberattacks, court orders, regulatory changes, or failures of third-party service providers.

25. Compliance with Information Technology Laws

These Terms are published in accordance with applicable provisions of Indian information technology laws and rules, including requirements relating to publication of terms of use, privacy policy, and platform access conditions.

You agree not to upload, publish, transmit, or share any information that is unlawful, harmful, defamatory, obscene, invasive of privacy, infringing, misleading, or otherwise prohibited under applicable law.

UONE and Hellomedic may remove or restrict access to unlawful or prohibited content and may cooperate with authorities as required by law.

26. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Subject to applicable law, the courts located at Ongole, Prakasam District, Andhra Pradesh, shall have exclusive jurisdiction over disputes arising out of or relating to these Terms, the Platform, or Hellomedic services.

27. Changes to Terms

UONE may modify, update, or revise these Terms at any time.

Updated Terms will be posted on the Platform with the revised “Last Updated” date. Your continued use of the Platform after changes are published constitutes acceptance of the updated Terms.

If you do not agree with the updated Terms, you must stop using the Platform.

28. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be deemed severed, and the remaining provisions shall continue to remain valid and enforceable.

29. No Waiver

Failure by UONE or Hellomedic to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision. UONE and Hellomedic may enforce their rights at any time.

30. Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent from UONE.

UONE may assign, transfer, or delegate its rights and obligations to an affiliate, successor, acquirer, or third party in connection with business operations, restructuring, merger, acquisition, or sale of assets.
